What is CONTRACT MANAGEMENT? What does CONTRACT MANAGEMENT mean? CONTRACT MANAGEMENT definition - CONTRACT MANAGEMENT explanation. Contract management or contract administration is the management of contracts made with customers, vendors, partners, or employees. The personnel involved in contract administration required to negotiate, support and manage effective contracts are often expensive to train and retain. Contract management includes negotiating the terms and conditions in contracts and ensuring compliance with the terms and conditions, as well as documenting and agreeing on any changes or amendments that may arise during its implementation or execution. It can be summarized as the process of systematically and efficiently managing contract creation, execution, and analysis for the purpose of maximizing financial and operational performance and minimizing risk. Common commercial contracts include employment letters, sales invoices, purchase orders, and utility contracts. Complex contracts are often necessary for construction projects, goods or services that are highly regulated, goods or services with detailed technical specifications, intellectual property (IP) agreements, outsourcing and international trade. Most larger contracts require the effective use of contract management software to aid administration among multiple parties. A study has found that for "42% of enterprises...the top driver for improvements in the management of contracts is the pressure to better assess and mitigate risks" and additionally,"nearly 65% of enterprises report that contract lifecycle management (CLM) has improved exposure to financial and legal risk." During the post-award phase, it is important to ensure that contract conditions and terms are met, but it is also critical to take a closer look for items such as unrecorded liabilities, under-reported revenue or overpayments. If these items are overlooked, margin may be negatively impacted. A contract compliance audit will often commence with an opportunity review to identify the highest risk areas. Having a dedicated contract compliance (and/or governance) program in place has been shown to result in a typical recovery of 2-4% and sometimes as high as 20%. Current thinking about contract management in complex relationships is shifting from a compliance “management” to a “governance” perspective, with the focus on creating a governance structure in which the parties have a vested interest in managing what are often highly complex contractual arrangements in a more collaborative, aligned, ?exible, and credible way. In 1979, Nobel laureate Oliver Williamson wrote that the governance structure is the “framework within which the integrity of a transaction is decided.” He further added that “because contracts are varied and complex, governance structures vary with the nature of the transaction.” (See also relational contract). Eriksson and Westerberg (2011); Li, Arditi, and Wang (2012); Chen and Manley (2014), and Cardenas, Voordijk, and Dewulf (2017) have hypothesized, developed and extensively tested conceptual models in which relevant project governance instruments and factors were identified and related to the performance of construction projects. A collaborative governance framework has four components: A relationship management structure (how the parties work together to make both day to day operational decisions as well as strategic decisions) A joint performance and transformation management process designed to track the overall performance of the partnership An exit management plan as a controlling mechanism to encourage the organizations to make ethical, proactive changes for the mutual benefit of all the parties. Compliance to special concerns and regulations, which include the more traditional components of contract compliance.

The Letter of Intent and the Purchase Sale Agreement are significant steps towards closing your multifamily purchase. The initial non binding offer used by buyers is a LOI. If you and the Seller find agreement in principle, you will formalize the offer with a Purchase Sale Agreement. CLICK HERE FREE Sample LOI & Cover Letter Letter of Intent The Letter of Intent is used to present the framework of your offer, your intent to purchase the Seller’s apartment building. This should be addressed to the selling broker, not the Seller. To see a sample Cover Letter & LOI used by Vinney, click here. The Cover letter should summarize your intentions. It should also include any relevant experience you or your team has closing on Multifamily Properties, to give the buyer confidence you will close if they accept your offer. The Letter of Intent is not binding, so it does not require legal review, but should contain:: Property details, address, number of units. Identify that your offer is based off of the numbers provided by the selling broker. General terms & conditions to purchase by your company or assign: Purchase Price Estimated requirement for Capital Expenses Earnest money, Vinney recommends at least 1% of the sale price. Timeline to complete the purchase: Due Diligence timeline Inspection Period Extensions if needed and conditions to extend Closing period Financing period: Lender approval letter Down payment funds Readiness of Property, including occupancy percentage required. Inspection documents required from the Seller: Financials Rental Agreements Survey Phase I Environmental Assessment Because you will be offering less than selling price offered, it is to be expected that the Seller will either reject or counter your initial LOI. After some back and forth, if you are able to reach agreement in principle with the Seller, you need to put the property under contract. This is accomplished using a Purchase Sale Agreement. Purchase Sale Agreement The Purchase Sale Agreement is a legal, binding agreement. The PSA includes all of the items in the LOI and spells out all the legal performance requirements for both you and the Seller. Each property is unique and requires that you have your attorney prepare and review to protect you. Vinney advises that you communicate early and often with the Seller during the Due Diligence period to avoid any surprises. He suggest that your compose a Repair Letter as soon as you know the condition and any additional capital expenses that you were not aware of prior to your offer. Similar communication regarding the financing should be made to keep the Seller in the loop. When you do this, the Seller is more likely to credit you additional funds to fix the problem, or accommodate the time needed to obtain financing to keep the sale on track to close. Tenant Insurance - For possessions - landlord not responsible - Signatures - Contract Copies * I usually sign and initial the contracts alongside the tenant * BUT, I have all the essentials already filled out to speed things along. * Remember, have the tenant initial each page as you go over it. * Review the contract before meeting your tenant, so you are familiar with all the clauses and are prepared to answer questions. Filling out lease agreements may seem daunting at first, because of all the pages and legal terminology, but if you really read through it, its not that hard at all. Its important that you review it multiple times, and become familiar with all the lease agreement clauses, so you sound like a professional when speaking with your tenants. This is important, because there are people out there who are "professional tenants", they know the law better than most landlords, and can play you for a fool. When launched, the Lockheed L-1011 TriStar was the most technologically-advanced widebody commercial airliner ever. This aircraft made leaps forward in efficiency, comfort, and safety. 50 years ago, the L-1011 even had the capability to land itself at certain airports in zero visibility weather, when other planes like the Boeing 747 would have to divert. Yet the L-1011 is the same aircraft that nearly bankrupt the company that built it. Lockheed incurred billions of dollars in losses on the L-1011 program and only ever sold half the TriStars it would need just to break even financially. The L-1011 program got off to a rocky start. Rolls-Royce was to manufacture a new kind of highly efficient, three stage turbofan engine to power the Tristar. But Rolls-Royce had difficulty developing its new engine. During the development of its RB-211 turbofan, Rolls-Royce filed for bankruptcy. This created delays and uncertainties around the L-1011 Tristar Program. An even bigger challenge for the Lockheed L-1011 TriStar was that it had to split the market with its rival, the Mcdonnell Douglas DC-10. This aircraft was in many ways similar to the L-1011. But Mcdonnell Douglas was a proven manufacturer with a track record in civil aviation. Lockheed on the other hand, was the new player. One of the most hotly debated topics I discuss with my clients is the concept of using a loan to assist in a purchase. The concept of using other people's money in order to finance a purchase is called leverage....and there's quite a few reasons why this topic is debated so frequently. Some of my clients are either in their later years near retirement and don't want the responsibility of a mortgage payment. Some of them want to see a higher return and maybe don't want to tie up all their cash to buy the type of property their interested in. Some don't want a mortgage so they can have full control in case they do decide to sell later. Some just want to spread their investment around so it's not tied up in one single project. I'm going to give you a quick rundown of what I personally feel is a responsible way to look at leverage... First let me show you how using leverage can assist in both your return and your risk... To make numbers easy, let's say you have $1M to buy a property. While searching you notice you could buy a $1m that makes about $100k/year. If you so choose to buy this property all cash and sell it in 5 years for the same $1M price paid for it, you will make a fairly straightforward 10% return. But let's take a look at how much of a return you could make by putting 30% down with a 5% interest rate. Now, your mortgage payment is a bit under half of the $100k per year, so you take home only about $55,000. And of course if you sell it, you're going to have to repay the loan in full. Looking at this, your return went from 10% in an all cash deal, to a cash on cash return of over 18% with a nearly 21% internal rate of return. So how did it double? Well you have to keep in mind, you were making 10%...and you're BORROWING someone else's money at 5%... Imagine you borrow $5 from a friend who simply wants $6 in return. You then go out and buy a DVD from a store and then immediately sell it to someone else for $10. You now have made a $4 profit after you pay your friend back. This is an example of using positive leverage. Using other people's money to make a profit which you couldn't have made before. In our $1M example, this also opens up a few doors. Remember, you only spent $300k to buy this $1M property -- meaning you still have $700k left over. Now you could go and buy two more additional properties. This also helps spread your risk around. What if one of the buildings is an apartment complex, and the crime rate spikes in the area making it harder to rent...if all of your $1m is in that single property, you are now at the full mercy of what happens to just that one property. It's as if you just threw all your money into a single stock -- if that one single stock does poorly and you haven't diversified, you don't have anything else to fall back on. Of course leverage can also free up capital. As I discussed in my "Lease vs. Own" video, if you own your property outright and are looking to expand but don't have the funds, you can use leverage properly and lease the space rather than owning it, or borrow against it and expand. Again as an example, if you have a $1m property that you own outright but want to expand your business to other areas and grow, it may be sensible to sell your property to an investor and pay them rent...or it may also be sensible to refinance the property and pay a mortgage and use the proceeds to expand. Again, leverage must be responsibly. In the examples I gave, it would make no sense to have a $95k mortgage with only $100k in income. It just doesn't make sense to barely be able to cover the mortgage payment -- that's too much risk! Also in the lease vs. own example, if you CANT expand as a company, why would you want to put your property at risk by selling and leasing back or even taking out a large mortgage that may be squandered trying if here is no set expansion plan? Leverage must be used properly, and there is no exact formula as to how much can be considered risky. It is going to depend on you as an investor and it's going to depend on the local market and property conditions. However, if used properly, it's a great investment tool that can both spread your risk and increase your return...now that's good to know. This is your feel-good breakfast espresso on SABC 3 as we continue in our series of Private Property, learning all about what it takes to be a first time home buyer, especially once you've made that very crucial and critical offer. Along with Private Property, we are experiencing the process of buying a home. Being Valentine's Day, we thought we would romanticize about making that big offer on your future home. But as with any big purchase, there are a few things to consider. That's why we have Simon Bray on the couch to help us out. Simon, how are you? Simon Bray: Very good. Happy Valentine's Day, Zoe. Happy Valentine's Day to you, too. We are talking about making that big offer on a home that you love. Is there anything we need to keep in mind before making that big offer? Simon Bray: Well, making the offer to purchase is the biggest step you're going to make in this property process. It's the binding contract between buyer and seller. So you've got to be absolutely sure. You've fallen in love with the property, but this is now getting married to the property. So it's worth testing the commute times between work and school, understanding what the neighborhood really has to offer, perhaps talking to a couple of neighbors. And if you're absolutely sure, then take the plunge. Take the plunge. Now you mentioned a binding contract. How can I ensure that when I went and viewed the home that all the fixtures and all the things that I saw, like the finishes, remains in the house because that's essentially what made you do the final decision as well? Simon Bray: Absolutely. I think when you see the house on a show day or by appointment and you're walking around, you just assume that everything you're seeing is part of the contract, part of the deal. Sometimes there's disagreements between buyers and sellers about what's a fixture, what's permanent, and what's not. A great example would be curtain rails. The curtain rail itself is screwed into the wall. It's part of the property. It's a fixture. It should stay. The curtains, well, that's up to the seller. They could take those when they leave. But all of that can be done through agreement. So it's worth going through the property itself, having a discussion with the agent or with the seller directly and saying, "You know, what are the items that are staying and what are the items that are going?" And then that minimizes any of that kind of conflict. I think that discussion point is very important. But when we come to the price, I think, are we allowed to have a discussion around that as well? Can we give an offer that's less than the value of the house? Simon Bray: Absolutely. Property in South Africa is all about that game of buying at the best price and the seller getting the best price that they can. So you can certainly offer less than the seller is asking. Offer too little and the seller's going to get upset and you might lose the deal entirely. But it is worth negotiating on price. It's certainly something that you want to meet in the middle and both feel like you've done a tough deal. Now is it possible to change your mind once you've made an offer? Simon Bray: That's a great question. You sign this offer to purchase, you get all the excitement, and then you wake up the next morning and you're like, "What have I done? Is this the right call?" There is a cooling offer period for property below 250,000 rand. That basically means that if you've signed a deal on a really cheap property and it's not the one for you, you can walk away from that deal within a certain period of time. But it doesn't apply to properties more than 250,000. So you really have to be sure when you sign that deal because if you meet all the expensive conditions and that contract goes ahead, well then it's binding and you actually have to purchase the property. You have to. So you need to be absolutely sure before signing that offer. Well, Simon thank you for sharing those tips with us. Here’s my list. Problem #5. The Victim Mentality Nothing holds someone back more than seeing himself as a victim. Why? Because a victim is not responsible for his situation. Everything is someone else’s fault. And the victim sees little chance of improving his life. How can he get ahead if someone is holding him back? All this makes the victim unhappy, frustrated and angry. This is how too many blacks see themselves – as victims. So much so that their victim status becomes their primary identity and their ruling ideology. I call it victimology. Unfortunately, many black churches preach this “victimology,” many black parents pass it on to their children, inner-city schools teach it to their students and the black media reinforce it. Meanwhile, the NAACP and other black grievance groups fundraise on it. Problem #4. Lack of Diversity Blacks repeatedly demand an “honest dialogue or debate about race.” But how can there ever be an honest dialogue about race between blacks and whites when there is virtually no honest dialogue between blacks and blacks? It’s hypocritical. And if a black doesn’t think, “whites are ultimately responsible for black people’s problems,” they’re labeled a “sell-out,” ”Uncle Tom,” or “race-traitor.” As long as this type of groupthink exists, race-reverends of the Al Sharpton, Jesse Jackson type will continue to be celebrated while independent black thinkers such as Professors Thomas Sowell and Walter Williams will be shunned. The honest race dialogue and debate -- that first has to happen -- is not between blacks and whites but between blacks and blacks. We demand diversity from others, but need to practice it ourselves where it really matters -- in thought, opinion, and even political affiliation. Problem #3. Urban Terrorism As just about everyone knows, but too few talk about publicly, in majority black cities, violent black on black crime is rampant. A Department of Justice study from 1980-2008 revealed that blacks accounted for almost half of the nation’s homicide victims (47.4%) and more than half of the offenders (52.4%) all while only being 13% of America’s population. The Tuskegee Institute conducted a study of all known lynchings of blacks that occurred between 1882-1968. During this 86-year span, which is essentially the post-Civil War era up to the Civil Rights era, 3,446 Blacks where reportedly lynched. Presently, black-on-black murder eclipses the number of blacks lynched over the course of 80 years roughly every six months. Unbelievably, the culpability for this disproportionate amount of mayhem actually lies with a menacing 2-3% minority within the black populace. I call them urban terrorists. Answer By Dr Zakir Naik,As far as the view of the majority of the scholars is concerned, what they say that if the land has been purchased for selling so that you make a profit then all the scholars unanimously agree that Zakaat should be given on it as we discussed in the last answer.That the moment one year is completed the land that you purchased Zakaat has to be paid on it. But if you have land and if you give it on rent, means if you buy a house and give it on rent, majority of the scholars say that Zakaat is not applicable on the value of the house. Zakaat is only applicable on the rent you receive, the moment you receive the rent and if it stays with you for a period of 1 year and if it's above the Nisaab level then you have to pay Zakaat on the rent not on the value of the house, the flat or the land. But now a days most of the people that purchase land for investment, they give it on rent so here we had a dilemma that people who purchase land mainly the purpose is investment but if they think that they'll buy the land they'll sell after 4-5 years when the price rises so but natural they don't want to keep it vacant so they keep it on rent to a person who requires to stay in that flat.

The most common complaints and BBB Scam Tracker reports that BBB receives are on the following: Free Trial Offers: Many of these misleading advertisements tout celebrity endorsements and promise a trial of the hottest new skin care or nutritional supplement for the minimal investment of shipping fees. What consumers report is that once they agree to the terms and conditions of these offers, they realize they have agreed to multiple monthly shipments for products in excess of $70-$100 each. How to Protect Yourself: Before you sign up for these 'limited time offers' research the company online, see if there are any other consumer complaints, read the terms and conditions you are agreeing to carefully, and if you can`t find any terms and conditions, that is a red flag. Watch out for pre- checked boxes and make sure that you know who and where the company is that you are purchasing from. Counterfeit Merchandise: Name brand goods are prime targets for unauthorized duplication, from sporting goods to designer apparel and handbags. If you purchase any of these products you may run the risk of not only receiving a poor quality product, but it may not meet environmental and safety regulations either. In this video, I react bleach and acetone via the haloform reaction to synthesize chloroform. Chloroform is a very useful solvent and reagent, and I'll be using it in upcoming videos. This reaction is aptly named the "Haloform Reaction" because it produces a Haloform (a methane molecule where 3 of the hydrogen atoms have been replaced by a halogen). This reaction doesn't give great yields, but the reactants are so cheap that it is definitely an economically viable way to produce chloroform. Disposing of chloroform: Chloroform hydrolyzes in basic conditions, so just let the chloroform sit in the bleach bottles for a couple of weeks, allowing the basic conditions to break down the chloroform. After a couple of weeks, there will be only a tiny amount of chloroform left, and you can flush this down the drain with excess water.
