It is a process of creating and managing contracts between the owner of a brand and a company or individual who wants to use the brand in association with a product, for an agreed period of time, within an agreed territory. Licensing is used by brand owners to extend a trademark or character onto products of a completely different nature. Examples of intangible assets include a song ("Somewhere Over The Rainbow"), a character (Donald Duck), a name (Michael Jordan), or a brand (The Ritz-Carlton). An arrangement to license a brand requires a licensing agreement. A licensing agreement authorizes a company which markets a product or service (a licensee) to lease or rent a brand from a brand owner who operates a licensing program (a licensor). A company may choose to license its brand(s) when they believe there is strong consumer acceptance for brand extensions or products. For example, when Apple launched the iPod there was an immediate need for accessories such as headphones, charging and syncing stations and carrying cases. Apple decided not to manufacture these products and instead chose to have a licensee make the products. By doing so, Apple could offer branded "Earbud Headphones", "iPod docking stations" and "iPod socks." Each is made by a separate company but together offer the consumer an elegant solution. All of these accessories are sold by licensees. Apart from benefits to licensors, there are benefits to licensees as well. Licensees lease the rights to a brand for incorporation into their merchandise, but do not share ownership in it. Having access to major national and global brands, and the logos and trademarks associated with those brands, gives the licensee significant benefits. The most important of these is the marketing power the brand brings to the licensee’s products. When brand managers enter or extend into new product categories via licensing they create an opportunity for a licensee to grow their company. Below is an example of the licensed product process steps: Licensor chooses the product categories to be licensed. Licensor finds and negotiates a license with the best licensees. Licensees develop concepts, prototypes and final production samples and submit for approval. Licensor approves licensed products for sale. Licensees sell licensed products to authorized retailers. Licensees expect that the license will provide them with sales growth. This sales growth may be in the form of growth within existing market or the opportunity to enter a new market. To achieve this, licensees expect that the brand they are licensing has significant brand preference, that it will open doors and ultimately help them meet or exceed their business objectives. The licensing contract forces the licensee to achieve certain sales targets and royalties; therefore, the goal of the licensee is to quickly meet their business objectives, thereby achieving their contract obligations. Royalties are the monies paid to a licensor by the licensee for the right to use the licensed property. It is calculated by multiplying the Royalty Rate by the Net Sales. The main international professional association for brand licensing is the Licensing Industry Merchandiser's Association, which sponsors the annual Licensing International Expo.....

Licensing is the process of leasing a legally protected (that is, trademarked or copyrighted) entity – a name, likeness, logo, trademark, graphic design, slogan, signature, character, or a combination of several of these elements. The entity, known as the property or intellectual property, is then used in conjunction with a product. Many major companies and the media consider licensing a significant marketing tool. Licensing is a marketing and brand extension tool that is widely used by everyone from major corporations to the smallest of small business. Entertainment, sports and fashion are the areas of licensing that are most readily apparent to consumers, but the business reaches into the worlds of corporate brands, art, publishing, colleges and universities and non-profit groups, to name a few. Licensing can extend a corporate brand into new categories, areas of a store, or into new stores overall. Licensing is a way to move a brand into new businesses without making a major investment in new manufacturing processes, machinery or facilities. In a well-run licensing program, the property owner maintains control over the brand image and how it's portrayed (via the approvals process and other contractual strictures), but eventually reaps the benefit in additional revenue (royalties), but also in exposure in new channels or store aisles.

Brand equity is a phrase used in the marketing industry which describes the value of having a well-known brand name, based on the idea that the owner of a well-known brand name can generate more money from products with that brand name than from products with a less well known name, as consumers believe that a product with a well-known name is better than products with less well-known names. Brand equity refers to the value of a brand. In the research literature, brand equity has been studied from two different perspectives: cognitive psychology and information economics. According to cognitive psychology, brand equity lies in consumer’s awareness of brand features and associations, which drive attribute perceptions. According to information economics, a strong brand name works as a credible signal of product quality for imperfectly informed buyers and generates price premiums as a form of return to branding investments. It has been empirically demonstrated that brand equity plays an important role in the determination of price structure and, in particular, firms are able to charge price premiums that derive from brand equity after controlling for observed product differentiation. Some marketing researchers have concluded that brands are one of the most valuable assets a company has, as brand equity is one of the factors which can increase the financial value of a brand to the brand owner, although not the only one. Elements that can be included in the valuation of brand equity include (but not limited to): changing market share, profit margins, consumer recognition of logos and other visual elements, brand language associations made by consumers, consumers' perceptions of quality and other relevant brand values. Consumers' knowledge about a brand also governs how manufacturers and advertisers market the brand. Brand equity is created through strategic investments in communication channels and market education and appreciates through economic growth in profit margins, market share, prestige value, and critical associations. Generally, these strategic investments appreciate over time to deliver a return on investment. This is directly related to marketing ROI. Brand equity can also appreciate without strategic direction. A Stockholm University study in 2011 documents the case of Jerusalem's city brand. The city organically developed a brand, which experienced tremendous brand equity appreciation over the course of centuries through non-strategic activities. A booming tourism industry in Jerusalem has been the most evident indicator of a strong ROI. While most brand equity research has taken place in consumer markets, the concept of brand equity is also important for understanding competitive dynamics and price structures of business-to-business markets. In industrial markets competition is often based on differences in product performance. It has been suggested however that firms may charge premiums that cannot be solely explained in terms of technological superiority and performance-related advantages. Such price premiums reflect the brand equity of reputable manufacturers. Brand equity is strategically crucial, but famously difficult to quantify. Many experts have developed tools to analyze this asset, but there is no agreed way to measure it. As one of the serial challenges that marketing professionals and academics find with the concept of brand equity, the disconnect between quantitative and qualitative equity values is difficult to reconcile. Quantitative brand equity includes numerical values such as profit margins and market share, but fails to capture qualitative elements such as prestige and associations of interest. Overall, most marketing practitioners take a more qualitative approach to brand equity because of this challenge. In a survey of nearly 200 senior marketing managers, only 26 percent responded that they found the "brand equity" metric very useful.

I have a history licensing Brands to Korea…. at times representing Korean firms licensing the foreign brand and at times the international company seeking a Korean partner. In the best cases, I bring partners together, resolve their differences, and work towards an amicable agreement. In less so pleasant circumstances, I have been engaged when terms of an agreement are in dispute. For entry into Korea, the current model is for an international brand to request the potential Korean company to prepare a “go to market” Business Plan. The plan would usually include background on the company, the competition, a 5-year sales and revenue projection and the number of locations they will open over that time period. This model of asking the local partner to outline their plan may work well internationally between western companies—similar norms shared. For Korea, this model has faults for a number of reasons and ends in Brands less than pleased over time. This experience is not uncommon. First and foremost Korean companies have high uncertainty and prefer to minimize risk in new ventures. They feel circumstance may change and not wish to be locked in to a rigid commitment. More significant, they see an Agreement as a roadmap subject to constant “adjustment” (code word for downsizing) and modification. This means the Plan they craft may be one attractive on paper for the sake of securing the Brand—and open at a later date to re-negotiation. What's more, when asked to draft a Business Plan/ Go To Market Plan, the actual teams developing the plan may have limited (some no) experience in actually launching a brand with western expectations. In turn, their business plan on paper may be very different what they will do in reality. So what does this mean for 2017? Frankly, I have been increasingly hesitate when asked about approaching potential Korean partners for international brands knowing the current Korean mindset and their preferred business practices. Instead, I strongly recommend international brands present their potential partners with the Brand’s business plan for the market vs. asking for their Korean team to prepare their version. This, of course, is a new model, however, it is over time in both parties best interest with expectations agreed upon up front and less subject to disagreement down the road… As for crafting a localized business plan, this is something I can assist … ###

Contact Aiden and learn more at www.180lawco.com. Someone asked me recently when is the best time to trademark your business name or logo. The simple answer: As soon as possible! Really, in general, the sooner the better for filing a trademark for your business name or logo. I discussed in a previous video that you have some trademark rights under common law even if you never register it with the U.S. Patent and Trademark Office (USPTO). But, having a registered trademark is infinitely better and it makes your trademark rights a lot stronger. So, even though you might have a common law trademark in something, its always better to actually register the trademark if you can. To register a trademark, you do have to be actively using whatever the trademark is in commerce. So, if your business is already established, i.e., you have a website or marketing materials using your business name or logo that you are trying to trademark, then you are actively using it in commerce and that will work in your favor when you try to get it registered. If you’re not quite there yet, for example, maybe all you have so far is a great logo, you can still file an application for the trademark. However it is an “intent to use” application… and it is exactly what it sounds like. It means that you are intending to use whatever the trademark is. So, that will buy you some time in being able to actively use that trademark in commerce, but still getting that protection if your trademark is ultimately registered. So, even if your business is not actively started yet, you can, in most cases, still file that intent to use application to get a head start on that trademark registration. So, simply put, the sooner you can file a trademark application, the better off you are. It basically gets you first in line in priority of using that trademark, assuming no one else has already used it. And if you are still getting your business started, you can file that intent to use application in order to get a little extra time for you to start using it actively in commerce. Korean tech giant Samsung Electronics has been ranked the fourth most valuable brand in the world-- a major jump from last year's 7th-place ranking. It trails behind U.S. tech giants Amazon, Apple and Google... but is ranked just ahead of Facebook. A report released by U.K.-based brand valuation and strategy consultancy, Brand Finance shows Samsung's brand value surged by 57-percent from last year's estimate... to nearly 78-point-8-billion U.S. dollars. It's now worth eight times more than the next highest Korean brand in the rankings, Hyundai Motor company... which has an estimated value of around 10-billion dollars. The report attributes Samsung Electronics' success this year to its resilience in overcoming difficult challenges... ranging from problems connected to the exploding Galaxy Note-Seven series in 2016... to the jailing of its Vice Chairman Lee Jae-yong on bribery charges last year. It says despite these issues, the company still recorded high-volume sales of LCD screens to manufacturers across the world, as well as strong sales of other electronic components and mobile phones. The report says in addition to measuring overall brand value... which is defined as the net economic benefit that a brand owner would achieve by licensing the brand on the open market...
